If you are using the Site on behalf of your company, the Terms are binding upon both you and your company.

You must be 18 years or older to use the Site. You affirm that you are 18 or older, as the Sites are not intended for individuals under 18. If you are under 18, then you are prohibited from using or accessing any Site or services through a Site.

You agree not to obtain or to attempt to obtain unauthorized access to such parts or features on a Site, or to any other protected materials or information, through any means not intentionally made available to you by us. You agree not to use, when subscribing or at any other time on a Site, any aliases or pseudonyms or to provide any false or out of date information about yourself. You may not (I) select or use a screen name of another person with the intent to impersonate that person; (ii) use a name of any person other than yourself without authorization; or (iii) use a screen name that we, in our sole discretion, deem offensive or inappropriate.

To the extent that you are permitted to create one or more user accounts for your company, you represent that you have authority to do so, and you will not use such a user account beyond the scope permitted.

You are responsible for maintaining the confidentiality of any account information, usernames, logins, passwords, and security questions and answers that you use to access any page or feature on a Site, and for logging off your account and any protected areas of a Site. Further, you are fully responsible for all activities that may result from your negligence, carelessness, misconduct or failure to use or maintain appropriate security measures. You agree to contact us immediately if you become aware of any suspicious, suspected or unauthorized use or conduct concerning your account(s), user name(s), email address(es), logins, passwords, and security questions and answers, including loss, theft or unauthorized disclosure of your password or credit card information. We will not be liable for any loss or damage arising from your failure to comply with this paragraph. You are responsible for all usage or activity on or through your account, including the use of such things by any third party, whether or not authorized by you to use such things. Any fraudulent, abusive, or otherwise illegal activity is a violation of these Terms and may be grounds for termination, at our sole discretion, and the person may be referred to appropriate law enforcement agencies.

Information provided to you through a Site may involve the electronic transmission, including via any email address you provide to us, of information that you may consider to be personal information or personal financial information, and you consent to such transmission(s).

By creating an account, you consent to receive email, SMS and other notifications.

You are fully responsible for all activities, including orders, requests, and transmission of information or data, performed through your account.

Content (Ownership & Use)

CONTENT

All content and data on a Site (“Content”) provided by us, a Site itself, Trademarks (defined below), blogs, text, photographs, images, logos, graphics, artwork, icons, characters, video, audio content, information, data, software, graphs, videos, typefaces, sounds, brands, the design, layout, look and appearance of a Site (overall and in part) and other material, whether in the form shown on a Site or in other forms, media, technologies existing now or hereinafter developed is known herein as “Our Content.” Our Content also includes the code and scripts in any format used to implement a Site.

TRADEMARKS

Our “Trademarks” include: the words INTERNATIONAL FARMING CORPORATION, the shield logo of International Farming Corporation, THE BEST FARMS. THE BEST FARMERS., FARMERS WITH CAPITAL, PRICE TO PRODUCTIVITY RATIO, OUR RESPONSIBLE STEWARDSHIP PROMISE, TOP GROWERS, TOP SCOUTS, TOP TRIALS, and U.S. FARMING REALTY TRUST. These and other brands that have been or may be adopted by us are known in these Terms as the “Trademarks.” You agree that we own the Trademarks and that you will not use the Trademarks in any way without our permission and certainly not in any way that is likely to cause confusion with or to dilute our uses or rights. By accessing or using in any way this Site, you do not and will not acquire any ownership or usage rights in the Trademarks.

OWNERSHIP OF OUR CONTENT

All of Our Content published on a Site is, or may be, protected by copyright, trademark or other laws, and is owned, licensed or controlled by us. Third-Party Content may also be protected by copyright or other laws and owned or controlled by the party credited as the provider of the content, software, or other materials. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through a Site. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right to or of the Content or Products.

Neither we nor the provider of Third-Party content shall have any liability for any errors or delays in the substance, content, provision, or availability of Third-Party Content, or for any actions taken in reliance thereon. We undertake no duty or obligation to police, monitor, review or verify any aspect of User Submitted Materials or Third-Party Content.

If you believe that you, your rights, intellectual property rights, or copyrights have been infringed, violated or defamed by Third-Party Content or from anything on a Site, please contact us. We undertake no duty to comply with your request, but we have no tolerance for copyright infringement, libelous statements or other actions to violate rights.

Reporting Copyright Infringement

We respect the intellectual property rights of others and require that the people who use the Sites do the same. If you believe that your work has been improperly copied on any Site or by us in a way that constitutes copyright infringement, please contact us.

WITHOUT LIMITING THE FOREGOING, IFC IS NOT LIABLE FOR ANY PERSONAL INJURY, INCLUDING DEATH, CAUSE BY YOUR USE OR MISUSE OF A SITE OR CONTENT. WE MAKE NO REPRESENTATION THAT A SITE OR CONTENTS ARE APPROPRIATE OR AVAILABLE FOR USE IN LOCATIONS OUTSIDE THE UNITED STATES. YOU ARE SOLELY RESPONSIBLE FOR COMPLIANCE WITH ALL LAWS APPLICABLE, INCLUDING THOSE APPLICABLE WHERE YOU ARE, AND INCLUDING ALL IMPORT AND EXPORT REGULATIONS AND LAWS.

YOU ASSUME THE RISK

To the extent permitted by law, you assume the risk of all use of a Site and the Content. As set forth below in these Terms, you release us from all liability, and you will indemnify and defend us.

INDEMNITY

You agree to indemnify and hold IFC, its subsidiaries, affiliates, parents, licensors, content providers, and service providers, and all of our/their employees, agents, officers, managers, directors, owners, shareholders, agents, and contractors (the “Indemnified Parties”) harmless from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you or done at your direction or request or from any illegal conduct by you, including without limitation any use of A Site, or any Content other than as expressly authorized in these Terms or as may be expressly authorized in another agreement. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized action, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your providing a User Submitted Material or violating any of these Terms. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under these Terms. In such event, you shall provide us with such cooperation as is reasonably requested by us and reimburse us all defense costs, including reasonable attorneys’ fees.

CLASS ACTION WAIVER

WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR A CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

NO OBLIGATION TO PARTICIPATE IN DISPUTES BETWEEN USERS OR THIRD PARTIES

If there is a dispute between users of a Site, or between a user and any third party, you understand and agree that we are under no obligation to become involved. In the event that you have a dispute with one or more other users, you release us, our subsidiaries, and affiliates and each of their officers, employees, shareholders, members, agents, representatives, and successors from any and all claims, demands, and damages of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or a Site.

Sustainability Policy

As a long-standing leader in the acquisition and management of farmland and other agricultural assets, International Farming (together with its affiliates, “I.F.”) is acutely aware of the importance of employing sustainable environmental, social, and governance practices (“ESG”) across its business. Seeking to address ESG issues is a critical factor in achieving attractive and sustainable outcomes for its clients, staff, and other stakeholders. The purpose of I.F.’s Sustainability Policy (the “Policy”) is to serve as a guide for I.F. staff by articulating the scope, objectives, and structures through which I.F. seeks to address these issues. It is also intended to provide transparency and a framework for further discussion with clients, strategic partners, and other stakeholders on these important issues.

Policy Scope

This Policy encompasses I.F.’s ongoing activity with respect to the acquisition, improvement, and management of farmland and related agricultural assets. The Policy is intended to cover all such assets while recognizing that applying all aspects of the Policy to assets acquired prior to the Policy’s development may require additional time or alternative approaches. The Policy is also intended to encompass I.F.’s internal management and operating activities.

Covered Individuals: This Policy is directly applicable to all I.F. staff in conducting their individual and collective responsibilities. The Policy recognizes that the cooperation of external partners (e.g. farmland tenants) not directly controlled by I.F. is necessary to achieve the Policy’s objectives. Recognizing this, there are aspects of farmland management that touch ESG considerations that may be outside the firm’s control. In such instances, the Policy is intended to guide I.F. staff in pursuing its sustainability objectives through engagement with such partners on relevant topics while, also, recognizing the distinct rights, responsibilities, and interests of such external partners.

Sustainability Principles

I.F.’s approach to sustainability generally, and ESG factors individually, are grounded in the following principles and values:

  1. The productive capacity and long-term value of farmland is maximized through stewardship and farming practices which protect and/or enhance soil health and conservation, water quality and availability, and interdependent ecosystems.

  2. Global trends including, but not limited to, climate change, technology, nutrition, and economic development will have profound impacts on agriculture and food supply chains. Anticipating and responding to these trends presents an attractive investment opportunity.

  3. Equitably addressing the interests of diverse stakeholders including, but not limited, to labor and local communities, is a critical element in maintaining the robust agricultural ecosystem in which I.F. operates.

Sustainability Objectives

I.F.’s sustainability related activities are intended to support the achievement of several complementary objectives across its business. These include:

  1. Investment Performance: Enhance the long-term risk adjusted investment performance of the assets I.F. acquires and manages on behalf of its investment management clients.

  2. Reputation: Continue to be recognized by all relevant stakeholders as a respected participant, attractive partner and thought leader within the markets in which it chooses to participate.

  3. Organization: Enable and empower I.F.’s staff to effectively fulfill their individual and collective responsibilities to clients, each other, and other stakeholders while strengthening the organization through a common culture and purpose.

In some situations, achieving an optimal sustainability outcome on one or more dimensions may not be feasible or may conflict with other objectives. In such instances, I.F. considers the totality of I.F. ’s sustainability objectives as well as other factors such as its fiduciary responsibilities, short term vs. long term investment performance, organizational capacity, profitability, reputation, strategic relationships, legal constraints, and regulatory requirements.

Sustainability Areas of Focus

The identification, analysis, and management of relevant sustainability factors across I.F.’s business must continually evolve due to numerous dynamic factors spanning scientific, environmental, social, regulatory, and commercial dimensions. Generally, I.F. will prioritize its activity across the following broad areas of focus in addressing sustainability issues over time. These are summarized below:

Protection and/or Improvement of Natural Resources: Protecting and/or improving the natural resources associated with Covered Assets including soil health, soil conservation, water quality and availability, air quality, and the biodiversity of ecosystems.

Sustainable Agricultural Practices: Utilizing and/or promoting sustainable agricultural practices which maintain and/or increase the long-term productivity of I.F. controlled farmland. In addition, I.F. seeks to support the ongoing improvement of the quality, efficiency and availability of food and other products utilizing crops grown on I.F. farmland.

Community Respect and Resilience: Respecting the rights and interests of the diverse communities and stakeholders potentially impacted by I.F. ’s activities. This includes supporting the economic resilience of local communities, recognizing the distinct legal rights and cultural interests of indigenous peoples, and considering the positive or negative impact that I.F. activities may have on these and other stakeholders.

Fair, Respectful, and Inclusive Labor Practices: Establishing and fostering organizational practices that enable I.F. to access, develop and retain individuals with the diverse skill sets and experiences required to fulfill its sustainability and other goals.

Integration of Sustainability Activities

I.F. addresses issues of sustainability as an integrated component of the processes and systems utilized to conduct its activities. This approach embeds the identification, consideration, and response to sustainability issues within each of the core areas of I.F. ’s activities. These areas include:

Investment Process: I.F.’s investment staff (the “Investment Team”) seek to identify and evaluate relevant material sustainability issues in the process of sourcing, underwriting, and executing investments. In conducting its activities, the investment staff relies upon other I.F. specialist staff (e.g. agronomists) and, when warranted, external service providers.

Farm Management and Agronomy: I.F.’s farm management and agronomy staff (the “Agricultural Services Team”) are key to achieving its sustainability objectives. These staff members provide critical input to the investment team in evaluating assets for acquisition and developing post-acquisition plans for each asset. The Agricultural Services Team also address issues of sustainability across its areas of responsibility. These areas include: ongoing monitoring of farmland assets; selecting, contracting and engaging with tenants; researching and promoting sustainable agricultural practices and; executing improvements to farmland assets.

Corporate Functions: I.F.’s corporate functions such as operations, human resources, legal and compliance, and finance address issues of sustainability within their respective areas of activity. For example, I.F. ’s human resource practices incorporate factors such as diversity, equity and inclusion within its hiring and retention strategies. Similarly, the firm’s legal and compliance staff seek to ensure compliance with all relevant regulatory requirements.

Sustainability Strategies

I.F. employs a diverse set of frameworks, resources, and processes in pursuit of its sustainability objectives. These will evolve over time through a dynamic firm-wide approach to sustainability but core aspects of the firm’s approach include:

Maintaining/Building Organizational Capacity: I.F. believes that issues of sustainability must be addressed by individuals across nearly all of the firm’s functions and geographies. This requires that I.F. attract, develop and retain individuals with a diverse set of skills, and provide them with the resources they require to successfully fulfill their responsibilities. The I.F. organization pursues its sustainability objectives through a combination of employing professionals with specific expertise in topics of sustainability, and enabling staff with expertise in other areas to effectively address relevant sustainability topics in the course of their general responsibilities. In instances where additional expertise or resources are required, internal resources are supplemented with specialized 3rd party service providers.

Monitoring Progress and Pursuing Continuous Improvement: A key element of I.F.’s management philosophy and organizational culture is an emphasis on continual learning and improvement. As a result, I.F. is committed to capturing and monitoring its performance on sustainability metrics and seeking to improve outcomes over time.

Collaboration and Partnerships: I.F. seeks to collaborate with strategic partners and others in the industry to support the further development and adoption of sustainable practices across the markets in which it participates.

Governance

Decision making and oversight of activities involving sustainability related risks or opportunities resides within the existing organizational structures and processes governing the relevant scope of activity. These organizational structures and their illustrative sustainability oversight responsibilities include:

Executive Leadership & Partners: I.F. ’s Executive Team and Partners meet formally to discuss firmwide goals, resource needs, strategic initiatives, and sustainability items that include; establishing firm level sustainability policy, ensuring desired employment practices, allocating resources to achieve sustainability objectives, prioritizing corporate social responsibility activities, maintaining legal and regulatory compliance, fulfilling firm level sustainability commitments (e.g. Leading Harvest, UNPRI), taking on additional sustainability related commitments or representations.

Investment Committee: Identification and consideration of relevant material sustainability related risks or opportunities as new investments are reviewed for approval, incorporation of relevant near or long-term sustainability related objectives or activities (e.g. environmental mitigations or enhancements) within the execution plan for each investment.

Working Groups and Execution Committees: I.F. ’s culture supports establishment of working groups that formally meet to evaluate sustainability relayed risks or opportunities, develop execution plans, and make recommendations to Executive Leadership if appropriate.

External Commitments

To provide additional accountability and opportunities for collaboration, I.F. participates in various 3rd party programs requiring periodic evaluation by and/or reporting to 3rd parties such as the Leading Harvest Sustainable Farmland Management Standards, and the UN Principles for Responsible Investment (“UNPRI”). I.F. views such participation, evaluation and reporting as an additional opportunity to monitor and improve its ESG performance.

Transparency

I.F. seeks to provide its clients, staff and, other stakeholders with visibility into the ways in which it addresses issues of sustainability across its business. Mechanisms for providing such transparency include making this Policy available to current and prospective clients, responding to client queries regarding issues of sustainability, and reporting upon I.F. ’s progress in achieving its sustainability objectives through periodic and ad-hoc reporting.

Finally, I.F. recognizes that sustainability is an evolving topic for stakeholders with diverse perspectives and interests. As a result, I.F. welcomes constructive dialogue with its clients and other stakeholders on these topics.

The Paris Agreement

Climate change poses a material risk to agricultural resources and our food value chain in several critical ways. At a high level, climate change can result in more extreme temperature fluctuations and weather events, which can lead to a contraction or expansion of crop growing regions, exacerbate flooding and droughts, influence pest and disease outbreaks, disrupt supply chains, and lead to more heat waves and cold snaps.

At I.F. we are working to do our part to address risk, reduce the impact, and adapt to climate change in the agriculture industry in which we work. To this end, we support the international community’s efforts to create a legally binding international treaty on climate change through The Paris Agreement.
